Bylaws

ARTICLE I: Name and Territorial Jurisdiction

Section 1
The name of this organization is the Golden Gate District, hereinafter referred to as the DISTRICT of the California Physical Therapy Association
, hereinafter referred to as the CPTA, a Chapter of the American Physical Therapy Association, hereinafter referred to as the ASSOCIATION.

Section 2
The territorial jurisdiction of this DISTRICT includes the counties of Alameda, Contra Costa, Marin, San Francisco, and San Mateo.

 

ARTICLE II: Functions

Section 1
To cooperate with the CPTA in the accomplishment of its functions.

Section 2
To provide the DISTRICT membership with local business, educational, and social programs; placement and news services.

Section 3
To represent the DISTRICT membership to the CPTA.

Section 4
To cooperate with other Districts in the accomplishment of mutual functions.

 

ARTICLE III: Membership

Section 1
The members of the DISTRICT shall consist of those members of the CPTA assigned to the DISTRICT.

Section 2
The rights of the DISTRICT members shall parallel the rights of CPTA members as they apply to the DISTRICT.

Section 3
A member shall be in good standing in the DISTRICT if the member is in good standing with the CPTA.

 

ARTICLE IV: District Structure and Meetings

Section 1. Structure
The governing body of the DISTRICT shall be an Executive Committee consisting of the six elected Executive Board members and not more than five appointed committee chairpersons.

Section 2. Meetings

  • A. The DISTRICT Executive Board shall meet at least once annually to appoint committee chairpersons. A majority of the Board members must be present to conduct business.
  • B. The DISTRICT Executive Committee shall meet a minimum of three times annually. A quorum, consisting of a majority of the Executive Committee members, must be present to conduct business.
  • C. The DISTRICT shall have a membership meeting a minimum of three times annually. A quorum, consisting of Physical Therapist, Retired Physical Therapist, Life Physical Therapist, Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members equaling one more than two times the number of members on the Executive Committee, must be present to conduct business.
  • Section 3. Finance
    The fiscal year shall be January 1 through December 31. Financial management of the DISTRICT shall be consistent with the CPTA.

 

ARTICLE V: District Executive Board and Committees

Section 1. Executive Board
The Executive Board shall consist of six elected officers (Chairperson, Chairperson-elect, Secretary, Treasurer, Chief Representative to the Assembly, and Chairperson of the Nominating Committee).

 

A. Qualifications

  • 1. Physical Therapist, Retired Physical Therapist, and Life Physical Therapist members who are members in good standing at the time of placement on a slate for election and at the time of taking office by election or appointment shall be eligible to hold office. Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members who meet the same eligibility requirement shall be eligible to hold any office except Chairperson and Chief Representative.
  • 2. Elected officers must be willing and able to fulfill the duties of said offices.

B. Terms

  • 1. The Chairperson-elect shall be elected annually for a two-year term: the first term as Chairperson-elect, and the second year as Chairperson.
  • 2. The Secretary shall be elected to serve a two-year term commencing on odd numbered years.
  • 3. The Treasurer and the Chief Representative shall be elected to serve a two-year term commencing on even numbered years.
  • 4. One member of the Nominating Committee shall be elected each year to serve for a three-year term.
  • 5. No member of the Executive Board shall serve more than two consecutive full terms in the same office.
  • 6. Terms of office begin January 1.

C. Election Procedures

  • 1. The Nominating Committee shall prepare a slate of candidates to the membership at a DISTRICT meeting and call for nominations from the floor. The slate shall include appropriate nominees for the DISTRICT Executive Board, the Nominating Committee, and for Representatives and alternate Representatives to the CPTA Assembly. The ballot shall be made available (mail or electronic) to all Physical Therapist, Retired Physical Therapist, Life Physical Therapist Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members of the DISTRICT. If electronic balloting is used, members may request a mail ballot.  Ballots mailed will be sent first class.  A return date shall be set.
  • 2. The Nominating Committee shall receive and count ballots and report results.
  • 3. Nominees receiving a plurality vote shall be considered elected.
  • 4. Any ties shall be broken by drawing of lots by the Nominating Committee.
  • 5. Special elections shall be held at a DISTRICT meeting. Membership will be notified in writing in advance of the place, date and time of election.

D. Vacancies

  • 1. If the Chairperson dies, resigns, is removed, or becomes disqualified before the expiration of his/her term, the Chairperson-elect shall succeed to the office vacated for the remaining portion of the term. The office of the Chairperson-elect shall be declared vacant.
  • 2. If the position of the Chairperson-elect becomes vacant more than 8 months before the annual election, a special election shall be held within 60 days for that office. If the vacancy is less than 8 months, a Chairperson for the following year shall be elected in the annual election.
  • 3. If the Position of the Chief Representative becomes vacant, the position shall be filled by Executive Board appointment from the list of elected Representatives.
  • 4. In the event any other position on the Executive Board or on the Nominating Committee becomes vacant, the position shall be filled by Executive Board appointment to complete the term.

Section 2. Executive Committee

  • A. The Executive Committee shall consist of the Executive Board and not more than five other committee chairpersons selected for the fiscal year by the Executive Board.
  • B. Responsibilities
  • 1. Make and carry out the mandates and policies of the DISTRICT.
  • 2. Act on policies on behalf of the DISTRICT between membership meetings.
  • 3. Direct all business and financial affairs on behalf of the DISTRICT.
  • 4. Act on the budget submitted by the Treasurer.
  • 5. Direct the activities of all DISTRICT committees, except the Nominating Committee.
  • 6. Bring pertinent information before the membership for their consideration.
  • 7. Submit a written annual report, including a financial report, to the membership and CPTA. Submit other reports as may be requested by the CPTA Board.
  • 8. Be responsible for information to and from the DISTRICT.

Section 3. Nominating Committee
The Nominating Committee shall consist of three Physical Therapist, Retired Physical Therapist, or Life Physical Therapist members, one member to be elected each year and serve for a three-year term. Each year, the chairperson shall be the Committee person in the third year of his/her term. No member shall serve two consecutive full terms.

Section 4. Other Committees

  • A. Other committees may be appointed by the Executive Board for appropriate terms. The chairpersons of five of these committees shall be appointed or re-appointed annually by the Executive Board to the Executive Committee.
  • B. Specific responsibilities of all appointed committees shall be in the DISTRICT Procedure Manual at the time each committee is appointed.
  • C. Ad Hoc Committees may be appointed by the DISTRICT Chairperson for specified tasks.

ARTICLE VI: District Representative to the Assembly

Section 1
The DISTRICT shall elect a Chief Representative to the Assembly (who shall serve as an officer of the DISTRICT) for its initial 15-50 Physical Therapist, Retired Physical Therapist, and Life Physical Therapist members and elect a Representative for each additional 50 Physical Therapist, Retired Physical Therapist, and Life Physical Therapist members or majority fraction thereof. Additionally, the DISTRICT shall elect one Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant member Representative for its initial
10-50 Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members and a Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant member Representative for each additional 50 Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members or majority fraction thereof.

Section 2
The Chief Representative shall be elected for a two-year term, commencing on even numbered years and shall serve as a member of the DISTRICT Executive Board.

Section 3
Additional Representatives shall serve staggered two-year terms.

A. Qualifications

  • 1. Physical Therapist, Retired Physical Therapist, Life Physical Therapist, Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members who are members in good standing at the time of placement on a slate for election and at the time of assuming the position shall be eligible for election.
  • 2. Elected Representatives must be willing and able to fulfill the duties of said office.
  • 3. The DISTRICT Chairperson shall automatically be a Representative.

B. Election Procedure

  • 1. The Nominating Committee shall prepare and present a slate of Representative nominees according to ARTICLE V: Section 1. C. 1.
  • 2. The nominees for Representative shall be ranked according to the number of votes received in an election by plurality. From this ranking the Representatives to serve for two years and alternates to serve until the next election of Representatives shall be chosen according to the provisions of the CPTA Bylaws.
  • 3. If a Representative is unable to attend a session of the Assembly, the Representative may be replaced for that session by the ranking elected alternate Representative.
  • 4. There shall be no restriction on the Representatives being re-elected.
  • 5. Any ties shall be broken by drawing of lots conducted by the Nominating Committee.

Section 4

  • A. All DISTRICT Representatives shall be present at the DISTRICT pre-Assembly meeting just prior to each meeting of the Assembly of Representatives and at each session of the Assembly of Representatives. Failure to comply shall constitute cause for removal from office (unless a reason satisfactory to the Chairperson or Chief Representative is received prior to the meeting). The remaining portion of his/her term will be filled by an elected alternate from the rank order list or by special election at a DISTRICT meeting if there are no such elected alternates remaining on the rank order list.
  • B. All DISTRICT alternates shall be present at the DISTRICT pre-Assembly meeting just prior to each meeting of the Assembly of Representatives. Failure to comply shall constitute cause for removal from office (unless a reason satisfactory to the Chairperson or Chief Representative is received prior to the meeting). The remaining portion of his/her term will be filled by an elected alternate from the rank order list or by a special election at a DISTRICT meeting if there are no such elected alternates remaining on the rank order list.
  • ARTICLE VII: District-elected Delegate to the House of Delegates

Section 1
The DISTRICT shall elect one delegate to the ASSOCIATION’S House of Delegates. This individual will be subject to approval by ratification by the CPTA’s Assembly of Representatives.

Section 2
The DISTRICT-elected delegate shall be elected to serve a two-year term.

Section 3
A. Qualifications

  • 1. Physical Therapist DISTRICT members who have been members in good standing for no fewer than two years immediately preceding at the time of placement on a slate for election and at the time of assuming the position shall be eligible for election.
  • 2. Elected delegate must be willing and able to fulfill the duties of said office.
  • 3. The DISTRICT-elected delegate shall automatically be a Representative.

B. Election Procedure

  • 1. The Nominating Committee shall prepare and present a slate of delegate nominees to the DISTRICT membership according to ARTICLE V: Section 1. C.
  • 2. In accordance with CPTA policy, the DISTRICT shall present the elected delegate to the CHAPTER office for inclusion in the CPTA’s nominating committee report for the delegate and CPTA elections and for ratification by the Assembly of Representatives.
  • 3. There shall be no restriction on the DISTRICT-elected delegate being re-elected.

 

ARTICLE VIII: Ethics and Discipline

Section 1
The ethical standards of the ASSOCIATION as defined in its Code of Ethics and Guide for Professional Conduct for the physical therapist and the Guide for Conduct of the Physical Therapist Assistant member shall be the ethical standards of the DISTRICT and shall be binding on the membership.

Section 2
Complaints to the effect that a member has violated the ethical standards of the ASSOCIATION shall be made in writing either to the CPTA Board or to the Judicial Committee of the ASSOCIATION.

 

ARTICLE IX: Amendments

Section 1
Amendments to these Bylaws, other than editorial changes and changes mandated by the ASSOCIATON/ CPTA, shall be made by 2/3 affirmative vote of the members of the DISTRICT returning the ballot. Thirty days after a first class mailing of the ballots to Physical Therapist, Retired Physical Therapist, Life Physical Therapist Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members of the DISTRICT, the votes shall be counted. These Bylaws and any amendments or revisions enacted by the membership shall be valid following approval by the CPTA Board.

Section 2. Compliance
If the intent of an amendment is editorial or to bring the District bylaws into agreement with those of the CPTA, the amendment shall be made by the District Chairperson or designee and shared with the District Executive Committee.  The District Chairperson or designee shall notify the CPTA Board and District membership that such amendments have been made.

 

ARTICLE X: Parliamentary Authority

Robert’s Rules of Order, Newly Revised, shall be the authority for any procedures not specifically covered in these Bylaws.
